1. Company Information

Lumiere Systems Inc is a registered enterprise IT consulting company providing high-value ERP implementation (Odoo, SAP, Microsoft Dynamics 365, NetSuite), Process Automation (RPA), Agentic AI, and Supply Chain Digitalization.

2. Scope of Services & SOWs

Services provided by Lumiere Systems Inc — including custom ERP module development, AI model deployment, process automations, and system integrations — are delivered pursuant to executed Statements of Work (SOW) or Master Services Agreements (MSA).

• Project Deliverables: Deliverables, timelines, and payment milestones are governed by the specific executed SOW.
• Client Responsibilities: Clients must provide timely access to environment credentials, source data, and stakeholders to ensure project success.

3. Intellectual Property Rights

All branding, proprietary methodologies, framework source code (including Lumiere SCM and Lumiere AI Studio), website architecture, and documentation remain the exclusive intellectual property of Lumiere Systems Inc or its licensors.

Custom code developed specifically for a client under a fully paid SOW is transferred or licensed as stipulated in that agreement. You may not reproduce, reverse engineer, or redistribute our platform components without explicit written permission.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all business data, technical architecture, proprietary source code, and trade secrets disclosed during engagement as strictly confidential. Neither party shall disclose confidential information to any third party without prior written consent, except as required by law.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Lumiere Systems Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data corruption, or business interruption — arising out of or in connection with the use of our website or services.

6. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law principles. Any legal suit or proceeding shall be instituted exclusively in the federal or state courts located in Harris County, Texas.
